Frontiers Fellowship Terms & Conditions
These Terms and Conditions establish the agreement between you and Wisdom Partners, LLC and its affiliates ("Wisdom Partners," "Frontiers," "we," or "us"). They govern your participation in Wisdom Partners' programs as outlined on www.wisdompartners.llc and your use of our products and services through linked websites and applications. The term "Services" encompasses your access to Wisdom Partners materials, participation in the Frontiers Fellowship Platform, and other services linked to these Terms and Conditions.
By clicking "I Accept" or using our Services, you agree to these Terms and Conditions, including the mandatory arbitration provision and class action waiver in Section 13. If you disagree, please refrain from using our Services.
We may introduce different or additional terms for specific Services, and using those Services implies acceptance of those terms. In case of a conflict between these Terms and Conditions and additional terms, the latter will prevail.
1) ACCEPTANCE AND ELIGIBILITY
1.1 Age Requirement. To use our Services, you must be at least 18 years old. By accepting these Terms and Conditions, you confirm that you meet this age requirement, have read, understood, and accepted these Terms and Conditions, and acknowledge that they form a binding contract governing your rights related to the Services and your relationship with Wisdom Partners.
1.2 Changes. We may update these Terms and Conditions for business enhancements. Any changes will be highlighted by updating the date at the top or notifying your primary email. Your continued use after updates implies acceptance. If you disagree with the amendments, you must cease using the Services.
1.3 Candidate Eligibility Assessment. Wisdom Partners may, at its discretion, accept or reject any Frontiers Fellowship Program applicant or guest based on evaluations, including applications and interviews.
1.4 Removal. Wisdom Partners reserves the right to remove individuals from Programs, Platforms, or related spaces at any time for reasons like non-payment or violating these Terms and Conditions. No refund, compensation, or credit is provided for terminated participation.
1.5 Code of Conduct. Participants must adhere to the Wisdom Partners Code of Conduct, which is integrated into these Terms and Conditions. Accepting these Terms implies agreement with the Code of Conduct.
1.6 Privacy Policy. Please review our Privacy Policy for details on the collection and use of your personal information.
2) THE SERVICES
2.1 Participant Interactions. Using the Services involves potential interactions with other Participants, both online and offline. You assume all associated risks and should exercise caution. Wisdom Partners does not routinely screen or verify Participants, although it reserves the right to do so. You are responsible for safeguarding your intellectual property rights and taking necessary precautions in your interactions.
2.2 Other Providers. Wisdom Partners may arrange perks through partnerships with Other Providers. These services are not supervised or endorsed by Wisdom Partners. Other Providers are solely responsible for their products and services, and your dealings with them are your responsibility. Wisdom Partners makes no warranty regarding the suitability or safety of Other Providers' offerings.
2.3 Your Account. When creating a Wisdom Partners Platform account, provide accurate information and maintain password confidentiality. Account transfer requires prior written permission. You are accountable for all account activities, treated according to our Privacy Policy.
2.4 Termination. Wisdom Partners may terminate or suspend your account at its discretion for policy violations or other reasons.
2.5 Service Changes. Wisdom Partners may modify, suspend, add features, or discontinue Services without notice. You can cease using Services at any time, and Wisdom Partners is not liable for any related loss or harm.
3) PAYMENTS, CANCELLATIONS, AND REFUNDS
3.1 Pricing. Visit www.wisdompartners.llc for current Service pricing, subject to change without notice.
3.2 Payment Information. If a fee applies, select a payment method, providing accurate details. You authorize automatic charges and agree to keep payment information updated. You are responsible for applicable fees, taxes, and replacing a failed Payment Method promptly.
3.3 Recurring Payments. Services may require recurring payments without further authorization. To terminate or change, email your Program Director. Charges submitted before notice will still apply.
3.4 Delinquent Payments. Failure to pay may restrict Service access. Wisdom Partners may pursue owed fees, utilizing collection methods, and you'll reimburse for associated expenses, including legal fees.
3.5 Custom Plans. Custom plans with different terms may be offered, replacing standard terms as indicated.
3.6 Equity. Wisdom Partners holds no equity in Participant-associated companies unless explicitly agreed through a formal written document.
3.7 Refunds; General. Except as explicitly stated, Wisdom Partners does not issue refunds. Participants on payment plans or paying one-time fees are entitled to a full refund within specified conditions.
3.8 Refunds; Exclusions. Refunds may be denied for policy abuse, including consecutive refund requests or violation of Terms and Conditions, Code of Conduct, or other Wisdom Partners policies.
3.9 Credits. Wisdom Partners may offer Credits at its discretion, with no guarantee for the future. Credits do not establish an obligation for similar instances or future provision.
4) YOUR CONTENT
4.1 Definition of Your Content. The Wisdom Partners Platform allows you to share posts, texts, photos, videos, and other files, collectively referred to as "Your Content."
4.2 Ownership. You retain ownership of intellectual property rights in Your Content, granting non-exclusive rights as outlined below.
4.3 License and Permission to Use Your Content. By sharing Your Content, you grant Wisdom Partners a perpetual, nonexclusive license to use, reproduce, modify, distribute, and publicly display it worldwide. This license supports operating and promoting the Services. Your Content may be visible to others based on account settings. You must not share content that violates Terms and Conditions or lacks necessary rights. Wisdom Partners may delete or remove Your Content at any time for any reason.
4.4 Feedback. We appreciate your feedback and may use it for commercial or non-commercial purposes without compensation. Feedback may be treated as nonconfidential unless agreed otherwise in writing. Wisdom Partners will not attribute Feedback to you without prior permission.
5) WISDOM PARTNERS’ INTELLECTUAL PROPERTY
5.1 Ownership; Limited License. We and our licensors own all rights to our Services, including content and materials (excluding Your Content). You are granted a limited, nontransferable license for personal, noncommercial use. Unauthorized use violates our intellectual property rights and terminates the license.
5.2 Recordings. You grant Wisdom Partners permission to photograph and record you during Wisdom Partners Programs, with the right to edit, modify, use, and distribute such materials without compensation. Wisdom Partners owns all rights to the Photographs and Recordings.
5.3 Trademarks. Wisdom Partners, Frontiers Fellowship, and related trademarks are owned by Wisdom Partners and may not be copied or used without written permission. Other trademarks belong to their respective owners. Mention of products, services, or information does not imply endorsement.
6) PROHIBITED CONDUCT AND CONTENT
You agree to adhere to applicable laws and respect intellectual property rights while using our Services. You will not:
Violate Wisdom Partners’ Code of Conduct as a Participant.
Engage in harassing, threatening, or predatory behavior.
Use another user's account without authorization.
Impersonate entities or misrepresent affiliations.
Commercially exploit our Services or resell them.
Copy, distribute, or publicly display our Services without permission.
Modify our Services, remove notices, or create derivative works.
Misuse our Services to disrupt others or interfere with their enjoyment.
Attempt to reverse engineer or circumvent access restrictions.
Use data extraction methods or unauthorized applications.
Send spam, chain letters, or engage in illegal activities.
Post unlawful, defamatory, or fraudulent content.
Infringe on intellectual property or disclose confidential information.
Share harmful or disruptive content.
Violate any local, state, national, or international law.
Enforcement is at Wisdom Partners' discretion, and failure to enforce in some instances doesn't waive the right to enforce in others. This section does not create a private right of action for third parties, nor does it guarantee the absence of prohibited content.
7) THIRD-PARTY CONTENT
We may provide information about third-party products, services, activities, or events, or allow third parties to share content and information on or through the Services ("Third-Party Content"). We provide this content as a service, and your interactions with Third-Party Content are solely between you and the third party. Wisdom Partners doesn't control or endorse Third-Party Content, and your use is at your own risk.
8) INDEMNIFICATION
To the fullest extent allowed by law, you'll indemnify, defend, and hold harmless Wisdom Partners and its parties from Claims related to your use of the Services, Your Content, or Feedback, violation of these Terms, or infringement of another's rights. Notify Wisdom Partners, cooperate in defense, and cover associated fees. Wisdom Partners has control over defense or settlement.
9) DISCLAIMERS
Your use of our Services is at your risk. Services and content are provided "as is" without warranties. Wisdom Partners isn't responsible for your interactions with Participants and doesn't guarantee Services' accuracy, completeness, or error-free operation. We attempt safety but don't guarantee a virus-free environment. You assume risks related to quality, suitability, and performance of Services.
10) LIMITATION OF LIABILITY
To the fullest extent permitted by law, Wisdom Partners and parties won't be liable for indirect, consequential, or exemplary damages. Total liability for any claim is limited to the greater of $50 or the amount paid by you in the 12 months preceding the incident. Exceptions apply for gross negligence, fraud, or intentional misconduct. Some jurisdictions may not allow certain exclusions, limiting their application.
11) RELEASE
To the fullest extent permitted by law, you release Wisdom Partners and its parties from responsibility, liability, claims, and damages arising from disputes with third parties or harm resulting from third parties' acts or omissions. You also release them from claims related to authorized use of Your Content, Photographs, and Recordings. No additional compensation is provided for permissions and releases.
12) GOVERNING LAW AND VENUE
Disputes will be governed by California law, excluding conflict of law rules. Resolution will occur in California courts.
13) TRANSFER AND PROCESSING OF DATA
For us to provide Services, you agree to process, transfer, and store your information in the United States and other countries, where rights and protections may differ from those under local law.
14) IN-PERSON EVENTS
As part of the Services, Wisdom Partners Participants may attend in-person events. Section 14 outlines terms for attending these events.
14.1 Registration. You must follow rules for event access, including payment, guest list, registration, and RSVP. Wisdom Partners may modify requirements at any time.
14.2 Event Spaces. Respect event spaces and property; refrain from actions causing damage. You're liable for relevant costs if damage occurs. Wisdom Partners isn't responsible for non-owned/operated spaces. However, if violations occur in such spaces and are brought to our attention, we reserve the right to investigate and take action.
14.3 Code of Conduct. Adherence to the Wisdom Partners Code of Conduct is mandatory at in-person events. You must ensure both your compliance and that of your invitees. Wisdom Partners reserves the right to refuse entry and remove anyone from events for Code of Conduct violations.
14.4 No Illegal Substances. Illegal substances are prohibited at Wisdom Partners events. Valid photo ID may be required for events serving alcohol.
15) MISCELLANEOUS
15.1 Survival. Despite other provisions, Sections 4, 6, 9, 10, 11, 12, 13, 14, 17 survive expiration or termination.
15.2 Severability. If any part is invalid, void, or unenforceable, it's deemed severable and limited or eliminated to the minimum extent needed. The validity of the rest remains unaffected.
15.3 Entire Agreement. These terms, linked language, and official Wisdom Partners policies constitute the exclusive agreement. They supersede all prior communications. Section titles are for convenience only. Communications may be electronic. These terms benefit the parties only, conferring no third-party beneficiary rights.
15.4 Assignment. You can't assign without our consent. We can assign rights without consent. No agency, partnership, joint venture, or employment relationship is created.
15.5 Waiver. Non-enforcement doesn't waive further rights. Non-enforcement doesn't forfeit the right to enforce that part later or any other part.
